Terms of Use

TRI Investment Funds ICVC is domiciled in the UK and authorised by the FSA as a Qualified Investor Scheme (QIS). As such TRI Investments must take reasonable care to ensure that ownership of shares in the Funds is only recorded in the register for the categories of investor to whom it can be promoted. The categories of investor to whom a QIS may be promoted are set out in The Fund’s Prospectus. In summary, the categories of investor who may invest in the Company include the following:

  • Individuals who are advised by an appropriate authorised professional adviser or sophisticated private investors with sufficient experience and understanding to be classified by their professional adviser as an intermediate customer.
  • Bodies Corporate/Trusts who are professional investment management firms.
  • Pension Schemes such as occupational pension schemes or Self Invested Personal Pension Schemes.
  • Collective Investment Schemes which are non UCIT schemes.
  • Overseas Investment firms/Companies subject to local regulatory permissions

The distribution of the TRI Investment Funds may be restricted in certain jurisdictions. No persons receiving a copy of the Prospectus in any such jurisdiction may treat the Prospectus as constituting an invitation to them to subscribe for units unless, in the relevant jurisdiction, such an invitation could lawfully be made to them.

The shares in the Company which are described in the Prospectus have not been and will not be registered under the United States Securities Act of 1933, the United States Investment Company Act of 1940 or the securities laws of any of the states of the United States of America and may not be directly or indirectly offered or sold in the United States of America to or for the account or benefit of any U.S. Person (as defined below), except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the United States Securities Act of 1933, the United States Investment Company Act of 1940 and similar requirements of such state securities laws.
